By Design International Ltd. (“BDI”) is the parent holding company of By Design L.L.C. (“BDLLC”) and is referred to herein as the Company or By Design. It traces its formation back to 1994 when By Design L.L.C. was founded. By Design is a rapidly growing apparel business that designs and markets an extensive range of branded active wear and contemporary apparel for pre-teen, teenage, young girl, and women markets. With Company sales, including affiliates, of approximately $200 million, a growing portfolio of brands, industry leading management and an experienced professional staff, By Design continues its dynamic growth. The Company designs and markets its major brands and lines in three major business segments: missy, juniors, and tweens. The Company’s missy business includes the By Design, Carolyn Taylor, Debbie Morgan, Madison Lilly, and Miss Guided brands, its junior business includes the Love By Design, So It Is, and Truth or Dare brands and its tween business includes the Love & Dreams, and Hola Lola brands and the Love By Design tween line. The Company's products and designs can be found in leading department, specialty, mass merchandiser, and discount stores worldwide. The company also provides design and consulting services to international retailers and companies. By Design’s sportswear is designed to combine classic American styling with the use of fashion trends from Europe as well as unique details and fit for customers who desire high quality fashion and fashion-basic clothing at competitive prices. By Design's products are sold in more than 10,000 department, specialty, mass merchandiser, and other retail store locations. Its branded product lines are sold to major United States retailers such as Nordstrom’s, Macy’s, Bon Ton, Gottschalks, and Kohls. Mass merchandisers such as JC Penney and Mervyns purchase branded and private label products from By Design and other retailers purchase assortments of branded and private label products from By Design. The Company plans to further expand its customer base by entering the European markets and expanding its Canadian business. By Design is well known and respected for the value it provides to the consumer and the Company’s retail customers. An important element of its strategy is to capitalize on this asset by fine-tuning its product lines and merchandise assortments to further enhance the value appeal of its products. Market research studies continue to conclude that consumer response to the Company and its product lines is excellent and this recognition, coupled with the strong sell-through of the Company’s products at retail, provides significant benefit to retailers and the consumer. BDLLC’s management, merchandisers and salespeople educate retailers' personnel about fashion trends and the Company's current products, and disseminate first-hand consumer feedback regarding consumer reaction to the Company's products. BDLLC’s marketing, merchandising, and sales departments are located in the Company's New York offices. The sales force sells only Company products. The Company designs and sells its products in three seasons during the calendar year (spring, fall, and holiday). Over the years, the Company has developed a successful formula of offering its products at accessible price points, thereby enabling its brands to develop a loyal following of customers who rely on the quality, style, and value it represents. |
